Board Diversity Policy

Introduction

This Policy aims to set out the approach for achieving diversity for the Company’s Board of Directors ("Board").

To the extent practicable, the Company will address the recommendations and commentary provided in the Malaysian Code on Corporate Governance 2012 ("MCCG 2012").

Policy Statement

With a view to achieving a sustainable and balanced development, the Company sees diversity at the Board level as an essential element in supporting the attainment of its strategic objectives.

In designing the Board’s composition, Board diversity has been considered from a number of aspects, including but not limited to gender, age, cultural, educational background, ethnicity, professional experience, skills, and knowledge.

Measurable Objectives

Selection of candidates will be based on the above 8 aspects. The ultimate decision, however, will be based on merit and contribution that the selected candidate will bring to the Board.

Monitoring and Reporting

The Board will report annually in the Statement on Corporate Governance on the Board’s diversity based on the above aspects and monitor the implementation of this Policy.

Review of this Policy

The Nomination Committee will review this Policy, as appropriate, to ensure the effectiveness of this Policy. The Committee will discuss any revisions that may be required, and recommend any such revisions to the Board for consideration and approval.

This Policy will be published on the Company’s website for public information.
